ACCEPTANCE OF TERMS

Toolcritic.com services are provided subject to the following Terms of Service ( called "TOS" hereafter), which we may update from time to time without notice to you. The current TOS can always be found at www.toolcritic.com/tos.html. You must agree to abide by the TOS to use Toolcritic.com.

DESCRIPTION OF SERVICE

Toolcritic.com offers users access to information about tools and books (hereafter called the "Service") that comes from original content produced by Toolcritic.com, from reviews created by users, and content that is licensed from third parties. The content may also contain advertisements necessary for Toolcritic.com to operate the site. Toolcritic.com may receive compensation or commission from some links to third-party sites. The Service may include announcements and administrative messages that are part of membership the receipt of which is not optional. Software that operates on servers or is contained in pages is part of the Service. Any new service or content introduced is part of the Service and is subject to the TOS.

The Service may include links to third party web sites or resource over which Toolcritic.com has no control. You acknowledge that Toolcritic.com is not responsible for the availability and content of such sites whether or not Toolcritic.com has been compensated for providing such link.

You understand that the service is provided "AS-IS", without warranty or guarantee. Toolcritic.com is not responsible for availability, deletions, mis-delivery, timeliness, failure to store any user communications or personal settings, or accuracy of content provided any third party. They reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part of it) with or without notice. Toolcritic.com makes a reasonable effort to ensure that their own content is accurate, but is not responsible for losses that might arise from inaccurate information found on the site including, but not limited to, loses and costs directly relating to tool purchases, loss of business or revenue, or costs or other damages resulting from injuries.

Read and follow Manufacturer's instructions for tools. Manufacturer's instructions and information for tool usage and safety should always take precedence over any information found on the Service. In the event that information found here conflicts with information you find in the instructions for your tool, follow the Manufacturer's instructions!

REGISTRATION OBLIGATIONS

For your use of the Service, you represent that you are legally old enough to form a binding contract under the laws of the United States or other applicable jurisdiction. Further, you agree that the information you provide in the Service's registration is true, accurate and current and that you will make a reasonable effort to update your personal information if it changes. If the Toolcritic has reasonable grounds to believe that the information is untrue or inaccurate, they have the right to suspend or terminate your account and to refuse to reinstate it.

Registered users must be at least 13 years of age. Children 12 years old or younger may not register and should not provide personal information.

PRIVACY POLICY

Toolcritic.com recognizes the importance of protecting your privacy as a user of the Service. The service only collects personal information that you give voluntarily during registration, when reviews are created, or other times when feedback or comments are solicited or given (called Personal Information hereafter). We may set cookies from time to time to better understand usage of the Service, but no Personal Information is gathered in this process. Personal Information will always be treated confidentially and will not be sold or otherwise provided to any third party.

You are responsible for maintaining the confidentiality of the password and account designation you create during registration and for exiting from your account at the end of each session. In the event of any unauthorized use of your password or account or other breach of security, you agree to notify Toolcritic.com immediately. Toolcritic.com is not responsible for any loss or damage resulting from unauthorized use of your account.

USER CONTENT

All information, text, data, graphics or other content (called User Content hereafter) provided by you in reviews or other postings are your responsibility. You agree not to email, upload, post, transmit or otherwise make available any User Content that is inaccurate, threatening, abusive, harmful, defamatory, unlawful, vulgar, obscene, libelous, invasive of another's privacy, or racially, ethnically or otherwise objectionable. You may not impersonate any person, including Toolcritic.com officials. User Content cannot contain advertisements for any product.

Toolcritic.com may or may not pre-screen User Content before it appears on the Service, but reserves the right to remove or refuse to post any User Content they feel violates the TOS. Toolcritic.com reserves the right to determine what User Content is suitable for posting and what is not.

You agree that you are the owner or have otherwise obtained rights to any User Content. By providing User Content either in reviews or other postings, you agree to provide Toolcritic.com an unlimited, irrevocable, worldwide, free license to distribute, modify, and create derivative works of the User Content on the Service or to sublicense or transfer the license to the User Content to a third party.

INDEMNITY

You agree to indemnify and hold Toolcritic.com and its affiliates, agents, officers, employees, licensors, licensees, and partners harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your violation of the TOS, your use of the Service, or User Content you submit, post, transmit or otherwise make available through the Service.
